Notice of the absorption merger of JFC Materials Co., Ltd. by Japan Fine Ceramics Co., Ltd.

At a meeting of our Board of Directors held on April 17, 2026, we resolved to absorb and merge with JFC Materials Co., Ltd., our wholly owned subsidiary, effective from July 1, 2026

1. Purpose of the Merger

Through this merger, we aim to strengthen and streamline our management structure, and to make more effective use our management resources such as raw materials, equipment, and human resources, and provide products and services that satisfy our customers.

2. Summary of the Merger

Merger resolution meeting of the Board of Directors: April 17, 2026
Merger contract date: April 17, 2026
Scheduled date of merger (effective date): July 1, 2026 (tentative)

(2) Merger Method

This merger will be an absorption merger in which our company will be the surviving company and JFC Materials Co., Ltd. will be the disappearing company.

(3) Allocation Details Related to the Merger

There will be no allocation of shares or other securities due to the merger.
